The move is designed to enable the companies to deliver a wider range of marketing activities for brands focusing on the family audience.
The synergy between both sets of directors has already developed a broader portfolio of marketing rights for sponsors to acquire in the immediate future.
Evolve, established in 2003 by Jon Bell and John Bishop, sports development specialists, delivers junior sports coaching programmes, in-curricular physical education support and coach recruitment services. The company also works closely with schools, clubs, charities and Local Education Authorities.
Navigator says the deal, representing cash and shares in Navigator’s parent Real Affinity plc, will allow it to bring to the market several marketing concepts and activities sooner than otherwise possible.
The enhanced infrastructure should also support Navigator’s growth plans and its aim to be a major player in the key areas of schools, sport and healthy lifestyle.
The initial consideration for the acquisition comprises £22,500 in cash and £22,500 of new ordinary shares in Real Affinity plc, Navigator’s parent company.
Further deferred consideration to a maximum of £330,000 based on future profit performance, may be payable. The further deferred consideration will be satisfied by the issue of new ordinary shares in Real Affinity plc.
